To the extent permitted by applicable law, neither Leadvision nor its distributers shall be liable for any direct, indirect, consequential or other damages whatsoever, including but not limited to property damage, loss of use, loss of business, economic loss, loss of data or loss of profits, arising out of or in connection with your use or access to, or inability to use or access the Galway Website or its content.

Arbitration

Any dispute, claim or controversy arising out of or relating to this agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this Agreement to arbitrate, or to Your use of the Website or its features or the information to which it gives access, shall be determined by arbitration in accordance with the provision of Indian Arbitration and Conciliation Act 1996. The place of arbitration shall be at the Head Office of Leadvision at New Delhi and any award whether interim or final, shall be made, and shall be deemed to be made for all purposes between the parties in Delhi. The arbitral procedure shall be conducted in English language and any award or awards shall be rendered in English. The procedural law of the arbitration shall be Indian law. The award of the arbitral shall be final, conclusive and binding upon the parties and the provisions of the Indian Arbitration and Conciliation Act 1996 shall apply. The rights and obligations of the parties under or pursuant to this clause including the arbitration agreement clause shall be governed by and be subject to Indian law and the agreement shall be subject to the exclusive jurisdiction of the courts at Delhi. Except otherwise provided, each party shall bear its own attorney’s fee expert witness fees and other cost incurred in connection with any legal actions. The award shall be final and binding on the Parties.

Governing Law and Dispute Resolution

This Agreement and any contractual obligation between Leadvision and User will be governed by the laws of India, without reference to the conflict of laws principles. Any legal action or proceeding related to your access to, or use of, the Galway Website or these Terms of Use shall be subject to the exclusive jurisdiction of the courts at Delhi.

Severability Clause: If any provision of this Agreement is held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from the Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms this will not affect the validity of the remaining terms.

Waiver: No term of the Agreement shall be deemed waived and no breach excused, unless such waiver or consent shall be in writing and signed by the Party claimed to have waived or consented. Complete Understanding: The Agreement contain the entire understanding of the Parties, and there are no other written or oral understandings or promises between the Parties with respect to the subject matter of the Agreement other than those contained or referenced in the Agreement.

Force Majeure: Leadvision shall not be liable for any downtime or delay or unavailability of the Galway Website caused by circumstances beyond a reasonable control, including without limitation, acts of God, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes or other labour problems, internet service provider failures or delays, or denial of service attacks.

Advice of Counsel: Each Party acknowledges: (a) having fully read the Agreement in its entirety; (b)having had full opportunity to study and review the Agreement.

Advertisement: Leadvision shall have the right to place advertisements and publicity materials of its choice, including that pertaining to parties other than itself for commercial use through electronic means on the Galway Website.

Assignment: You may not assign or sub-license, without the prior written consent of Leadvision, the rights, duties or obligations under this Agreement, in whole or in part, to any person or entity.
